Overlay Studio subscription terms

The agreement covering your subscription and your license to use Overlay Studio. Written to be read in one sitting.

Last updated: 1 August 2026. These terms apply to Overlay Studio only. Content production bookings are covered by our general terms of service.

1. What you are buying

Overlay Studio is a browser-based tool that generates overlay graphics — location cards, menu and definition panels, speaker labels, currency conversions, promotional cards with QR codes, chapter markers, framing guides and more — and exports them as transparent files you composite over your own footage in your own editor.

Your subscription buys access to the tool, not ownership of it. You receive a personal, non-exclusive, non-transferable license to use Overlay Studio for as long as your subscription is active.

Your video never leaves your machine. Overlay Studio renders in your browser and produces only the overlay layer. We do not upload, store, process or see your footage.

2. Subscription, billing and renewal

  • Price: $12.00 USD per month, or $115.00 USD per year, exclusive of any applicable sales tax or VAT which is added at checkout.
  • Renewal: your subscription renews automatically at the end of each period until you cancel. This is a recurring charge and you are agreeing to it when you subscribe.
  • Payment: handled entirely by Stripe. We never see or store your card number — only the card brand, last four digits and expiry, so you can recognise it in your account.
  • Failed payment: Stripe retries over roughly two weeks. Your access continues during that window. If every attempt fails, access ends and your presets are retained for ninety days.
  • Price changes: we will give at least thirty days' notice by email before any price change takes effect. You can cancel before it does.

3. Cancelling

Cancel at any time from your account, or through the Stripe billing portal linked there. Cancellation takes effect at the end of the period you have already paid for — you keep access until then, and you are not charged again.

Files you have already exported remain yours permanently, including anything already published or delivered to a client. Cancelling does not reach back into work you have made.

4. Refunds

The refund window is 24 hours from your first payment, and is limited to one refund per person for the lifetime of the account. It is there so you are not stuck if the tool turns out to be wrong for you — not as a way to subscribe, export a month of work and cancel. A second account created to claim a second refund is a breach of these terms.

If Overlay Studio does not do what this page says it does, email us within 24 hours of your first payment and we will refund it in full. No form, no explanation required.

After fourteen days, or on renewal payments, refunds are at our discretion — but if something has genuinely gone wrong on our side, ask. We would rather refund you than have you feel taken advantage of. Refunds reach your statement in five to ten business days.

Where local consumer law gives you stronger rights than this — for example the fourteen-day right of withdrawal in the EU and UK — those rights apply and nothing here limits them.

5. What you may do with your exports

Commercial use is included on every paid plan. Use exports in client work, paid advertising, broadcast, or anything else. You do not owe us a credit, a royalty or a license fee for output you create.

What you make with the tool is yours. What the tool itself is remains ours.

6. What you may not do

  • Share your login. One subscription is one person. Multi-seat licenses are available — just ask.
  • Copy, download, decompile, reverse-engineer or redistribute the application itself.
  • Resell access, or wrap Overlay Studio inside another product or service you charge for.
  • Use it to produce content that is unlawful, that harasses or defames, or that infringes someone else's rights.
  • Circumvent the subscription check, or use the tool without an active subscription.

We may suspend an account that breaches this section. Where the breach is accidental we will tell you first and give you a chance to fix it.

7. Updates and versions

Overlay Studio is updated regularly. New themes, overlay types and export formats ship to every paid plan at no extra cost, and you always get the current build automatically the next time you open it.

Because it is a hosted tool rather than downloadable software, we may change or remove features. If we remove something significant that you rely on, we will give thirty days' notice by email, and if it materially reduces the value of your subscription you may cancel and receive a pro-rata refund for the unused period.

8. Availability

We aim for Overlay Studio to be available whenever you need it, but we do not promise uninterrupted service. Planned maintenance is announced in advance where we can. If the tool is unavailable for more than forty-eight consecutive hours, ask and we will credit that period.

Browser support: Chrome and Edge are fully supported, including transparent video export. Safari and Firefox support the tool but some export formats are unavailable because those browsers do not implement them. That is a browser limitation rather than a fault, and we say so plainly here so it is not a surprise after you pay.

9. Your data

We store your account details, your saved presets and any project links you add. We do not store your footage, because it never reaches us. Full detail is in our privacy policy.

Ask us to delete your account and we will, within thirty days, along with your presets. Exported files on your own machine are unaffected.

10. Liability

Overlay Studio is provided as it is. We warrant that it will substantially do what this page describes, and that is the extent of it. We are not liable for indirect or consequential loss — including lost work, missed deadlines or lost revenue.

Our total liability to you is limited to the amount you have paid us in the twelve months before the claim. Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.

Back up your exports. We keep presets, not files. Treat anything you download as the only copy.

11. Changes to these terms

We may update these terms. Material changes are announced by email at least thirty days before they take effect, and the date at the top of this page always reflects the current version. Continuing to use Overlay Studio after that date means you accept the change; if you do not, cancel before it takes effect and we will refund the unused portion of your period.

12. Governing law

These terms are governed by the laws of the State of New York, and the courts of New York County have exclusive jurisdiction. If you are a consumer in another country, this does not remove the protections your local law gives you.

13. Contact

Billing, refunds, bugs or multi-seat licenses: gordonxemily@gmail.com. We answer within two business days.

Written to be readable rather than exhaustive, and it is not legal advice. Before you rely on this commercially, have an attorney review it — particularly the liability, refund and auto-renewal provisions. US auto-renewal disclosure rules vary by state and several require specific pre-checkout wording; the EU and UK give consumers a fourteen-day withdrawal right that overrides anything narrower.
